Gradply Terms and Conditions

Welcome to Gradply. Please read these Terms and Conditions ("Terms") carefully before using the Gradply mobile application, website, and associated services (collectively, the "Platform"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

1. Parties and Definitions

  • "Company", "We", "Us", or "Our" refers to Gradply, operated in Australia.
  • "Platform" refers to the Gradply application, website, software engines, and communication networks.
  • "Student" refers to any user registering to seek educational, language preparation, or migration assistance.
  • "Main Expert" refers to a verified, independent professional or agency profile offering consulting, education, or migration services.
  • "Sub-Expert" refers to an internal staff member or representative linked under a Main Expert's agency account.
  • "User" refers to any individual or entity utilizing the Platform (Students, Main Experts, and Sub-Experts).

2. Nature of the Service (Reverse Marketplace Disclosure)

Matchmaking Venue Only: Gradply functions strictly as an interactive reverse-marketplace application connecting Students with independent Experts. Gradply is not an educational institution, a migration agency, an employer, or an immigration advisory body.

No Agency Relationship: Any legal, contractual, financial, or professional relationship formed outside or inside the Platform is strictly between the Student and the Expert. Gradply is not a party to any contract executed between users.

Independent Advice: Gradply does not review, verify, approve, or guarantee the technical, migration, legal, or educational advice provided by Experts. Reliance on any advice obtained via the Platform is entirely at your own risk.

3. Compliance with Australian and Global Laws

Australian Consumer Law (ACL): If you use this Platform within Australia, our services come with statutory guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). Nothing in these Terms limits, excludes, or modifies those non-excludable rights.

Migration Act 1958 Compliance: It is the exclusive responsibility of the Main Expert to ensure they hold the necessary licenses, registrations, and certifications (such as MARA registration in Australia or equivalent international credentials) to provide immigration or visa advice. Users must not provide unauthorized immigration assistance through the platform.

4. Account Registration and Security

Eligibility: You must be at least 16 years of age to create a Student account. If you are under 18, you must have parental or guardian consent to use the Platform.

Accuracy of Information: You agree to provide accurate, current, and complete information during registration and to keep your profile updated.

Account Security: You are entirely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

5. Platform Usage Rules and Limitations

To maintain operational integrity, safety, and stability, all Users must adhere to the following rules:

A. Document Storage & Upload Limits

  • The Platform provides a secure document vault feature. File uploads are capped strictly at a maximum size of 15 megabytes (15 MB) per file.
  • Users are prohibited from uploading corrupt files, executable scripts, malware, or files that violate third-party intellectual property rights.

B. AI Advisor Feature Boundaries

  • The Platform offers an automated AI Advisor tool for instant answers.
  • Strict Rate Limiting: To prevent server abuse, usage of the AI Advisor is globally locked to a maximum of 5 questions per 5 rolling hours per user account. Any automated attempt to bypass this limit will result in an automatic temporary or permanent account suspension.
  • No Professional Reliance: Information generated by the AI Advisor is intended for general informational purposes only and does not constitute formal immigration, legal, or educational advice.

C. Prohibited Conduct

Users explicitly agree NOT to:

  • Bypass, scrape, or manipulate the platform structure, messaging networks, or lead matching protocols.
  • Use the Platform to transmit spam, fraudulent schemes, or phishing links.
  • Engage in defamatory, abusive, or harassing behavior in public or private chat systems.

6. Internal Office Intercom (Expert Chat System)

Private Workspace: The internal team chat feature is entirely separate from external Student facing communication layers. It is designed solely for closed-loop internal agency communication between Main Experts and their registered Sub-Experts.

Monitoring Discretion: Main Experts maintain full visibility and supervisory control over messages exchanged within their designated internal agency channels. Gradply does not monitor internal office chat logs except to comply with law enforcement or resolve server infrastructure anomalies.

7. Intellectual Property Rights

Platform Ownership: All source code, database structures, UI/UX designs, trademarks, logos (including the Gradply logo), and software systems utilized on the Platform are the exclusive property of the Company or its licensors and are protected under Australian and international intellectual property laws.

User Content License: By posting text, profiles, or reviews on public sections of the Platform, you grant Gradply a non-exclusive, worldwide, royalty-free license to use, host, display, and reproduce that content for marketing and operational optimization.

8. Limitation of Liability and Indemnity

As-Is Provision: To the maximum extent permitted by applicable law, the Platform is provided on an "As-Is" and "As-Available" basis without warranties of any kind, whether express or implied.

Limitation of Damages: In no event shall Gradply, its directors, employees, or tech infrastructure providers (including Emergent automated deployment layers) be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of visa opportunities, university rejections, financial loss, or data corruption.

Indemnity: You agree to indemnify and hold harmless Gradply and its affiliates against any third-party claims, liabilities, losses, damages, or costs (including legal fees) arising out of your breach of these Terms, your use of the Platform, or your professional interaction with other platform users.

9. Privacy and Data Protection

Your data privacy is paramount. Collection, processing, storage, and transfer of all user documents, profile details, and system communications are governed strictly by our Gradply Privacy Policy, which complies with the Australian Privacy Act 1988 (Cth) and global data protection guidelines.

10. Account Termination and Suspension

Right to Terminate: Gradply reserves the right, in its sole discretion and without prior notice, to suspend or terminate any user account that violates these Terms, compromises platform security, engages in fraudulent behavior, or fails to pass manual professional expert vetting procedures.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Western Australia, Australia.

Any legal disputes or claims arising out of or connected with the use of this Platform shall be subject to the exclusive jurisdiction of the courts of Western Australia.

12. Amendments to These Terms

We reserve the right to update or modify these Terms at any time. When updates occur, we will notify users inside the application dashboard or update the "Last Updated" date at the top of this document. Continued use of the platform after changes take effect constitutes binding acceptance of the updated Terms.
